Payment Terms
The Client undertakes to pay Workflow Digital Agency for the services rendered. The payment must be made in full, without any deductions or set-offs, within 15 days from the date of the invoice. The Client is also responsible for covering any additional costs related to the website software, advertising management, plugins or technical support requests.
- Web projects will be invoiced in 25% increments with progressive billing until the project reaches the launch phase.
- Digital marketing services will be invoiced according to the monthly contract terms and the start-up fee.
- Strategic sessions will be invoiced after the agreement is signed.
- Work that has not been pre-estimated will be invoiced hourly, reflecting the time spent on the work.
- We provide a detailed breakdown of costs in the accompanying invoices for a full understanding of the services provided.

Privacy & Indemnification
Workflow Digital Agency is dedicated to protecting the information provided by our Clients. We will use and disclose the client’s data in accordance with our Privacy Terms & Conditions. However, it is important to note that due to the digital nature of transactions, we cannot guarantee that the client’s information and content will remain completely immune to potential risks such as unauthorized access, distribution, or hacking. We will implement all necessary measures to minimize the risk of virtual access to the client”s information.
The Client agrees to defend, indemnify, save, and hold Workflow Digital Agency harmless from any and all demands, liabilities, losses, costs, and claims, including reasonable legal fees. This includes any claims made against the Company, its agents, its clients, officers, or employees that may arise from any service provided, performed, or agreed to be performed or any product/service sold to the client, its agents, employees, or assigns.
Domain registration and ownership
Due to the technological limitations of our chosen domain registrar, certain domain information may be registered as part of the Workflow Digital Agency. However, we fully acknowledge and respect that the Client is the legal owner of the domain and their ownership rights will be fully recognized and respected by Us.
Limitation of liability
The Сlient understands and agrees that while Workflow Digital Agency takes great care to ensure the security and confidentiality of data, it cannot be held responsible for any loss, damage or unauthorised access to data.
Under no circumstances will the Company, its agents, customers, officers, or employees be liable for any direct, indirect, special, incidental, consequential, or other damages, including, but not limited to, loss of data or business losses.
Indemnification
The Client agrees to defend, indemnify, and hold Workflow Digital Agency harmless from any demands, liabilities, losses, costs, and claims that may arise or result from any service provided or performed or any product/service sold to the Client, its agents, employees, or assigns.
Ownership & Confidentiality
Upon full payment of our invoices, all services provided and materials produced by Workflow Digital Agency on your behalf will become your exclusive property. This includes any work, designs, content, or materials created for your business.
Workflow Digital Agency retains certain rights, which are outlined below:
- We may use the work produced for your business as part of its portfolio. This can include showcasing it in both online and offline portfolios to demonstrate our capabilities to potential clients.
- We may add your company to our list of valued customers. This helps us highlight the diverse range of businesses we’ve had the privilege to work with.
- We may use the work we’ve created for you in design competitions, publications or other promotional materials to demonstrate the quality and creativity of our work.
If you decide not to use the materials we created, or if you fail to pay our invoices within 60 days of presentation, they will still belong to Workflow Digital Agency. This applies even if you have physical copies of the creative work, such as written copies, artwork, digital files, or recordings. In such cases, the Company may offer these materials to other clients for their use as long as it does not involve revealing any confidential information about your business or operational methods.
Reporting
Workflow Digital Agency provides comprehensive monthly reports to inform you about the performance of your SEO, PPC, and SMM campaigns.
By the first week of each new month, you can expect to receive a detailed report covering the entirety of the previous month. In some cases, we offer direct access to your personal dashboard so you can track real-time progress, key performance indicators, and other important metrics. We can also provide you with a full breakdown of key metrics, including but not limited to website traffic, conversion rates, keyword rankings, ad performance, social media engagement, and more.

Unplanned work
Any additional work or modifications beyond the project’s original scope will be billed separately on a time and materials basis. These costs will be in addition to all other amounts specified in this contract, regardless of any maximum budget, contract price or final price determined at the outset. Any additions to the project scope may affect the previously established schedule and timeframe.
Timeframe
The schedules and time estimates provided are subject to change upon written notice by either party. Unless otherwise specified, both parties must provide at least two weeks’ written notice of any proposed changes to the timeframes.
Fees & changes
Any changes, additions or modifications that result in a change in the Еerms of the Сontract, including services to be performed, and are not covered by the originally determined price, will be considered additional services. These additional services may include adjustments to the scope of work, increased complexity of project elements, or any changes made after the approval of the project.
Converting non-digital to digital
Clients pay a fee if the content is provided in a non-digital format (e.g., paper printouts, postcards or other non-digital formats). This fee covers our team’s time converting the information provided into an electronic document before handing it over to a dedicated website developer. This process helps ensure all content is properly formatted and seamlessly integrated into the digital platform.
Works extended beyond the agreed timeframe
If the Client requests an acceleration of the agreed schedule or a shortening of the contract period or causes delays or extensions that result in additional fees and costs, Workflow Digital Agency will charge an additional fee. The fee will be 50% of our hourly rate. If Workflow Digital Agency is forced to wait for materials or approvals for more than 30 days on an ongoing project, we reserve the right to invoice for the remaining project cost or at least the work completed to that point.
Client approval
The Customer must appoint an authorised representative with full authority to provide Workflow Digital Agency with all necessary information and permissions. The Client must thoroughly proofread and approve the project before production can proceed. For each project, an authorised representative of the Customer must approve the final product as “Approved” and sign it with his/her name or initials.
Fixing a hacked website
While we are dedicated to providing marketing solutions for your website, it’s important to note that we do not offer support for hacked or offline websites as part of our standard marketing campaign services. However, we can efficiently clean your website from malware and viruses

Workflow Digital Agency performs a series of monthly tasks to optimize your website using local and remote strategies. Nevertheless, your website’s organic search rankings can be affected by a variety of factors:
- Previous SEO companies used black hat SEO techniques or implemented inefficient SEO strategies.
- Your website has been penalized by Google for violating its guidelines.
- Your website has been blacklisted by search engines, including but not limited to Google, Yahoo or Bing.
- Your website has been compromised by trojans, phishing schemes, email interception or information extraction in the past or during the term of the contract.
If the Client asks us to develop a website design not directly related to search engine optimization, all such work will be treated as an independent project. We will provide a separate price for these services.

Digital Advertising, commonly known as Pay-Per-Click (PPC), helps us to promote your business. It includes:
- The flexibility to request changes to your advertisements. For text ads, you may submit requests once a month. For display ads, you can make changes once every two months.
- We may proactively propose additional opportunities for your business based on the insights and feedback we gather from the advertising platforms to enhance the effectiveness and impact of your digital advertising campaigns.
- Workflow Digital Agency provides regular and comprehensive reports detailing the performance of your digital advertising campaigns. These reports offer valuable insights into key metrics, conversion rates, and return on investment (ROI).
- We continuously monitor and adjust campaigns to ensure optimal performance and efficient use of your advertising budget.
Cancellation
The Client retains the right to terminate this Agreement by giving Workflow Digital Agency a written notice of at least 30 days. During this notice period, we continue providing the agreed-upon services as well as any additional services that have been previously requested by the Client.
- The Client is accountable for all fees incurred up until the conclusion of the notice period, including any outstanding charges for services rendered.
- Any payments made in advance for web hosting services before the notice period commences are non-refundable. This means that any fees for web hosting that have been paid ahead of time will not be subject to reimbursement upon termination of the Agreement.
- Workflow Digital Agency will diligently uphold its commitment to delivering high-quality services throughout the entire notice period, ensuring that the Client experiences a seamless transition.
- Upon termination of the Agreement, the Client will have the option to retrieve their data and content in a format that allows for easy transfer to another service provider.
